Key Purpose
To strategically lead, direct and control the provision of an effective and comprehensive Corporate Legal Service to the Board, Chief Executive, Chief Operations Executive, Chief Financial Officer and MANCO, by developing and implementing the strategies, policies, frameworks, systems, processes and procedures.
To ensure that all services of SAIPA have the necessary quality legal advice and representation to support the provision of their service; to enable SAIPA to meet its objectives and act within the law and to protects
the interests of SAIPA.
External Environment
The Corporate Legal Manager is accountable for the promotion and implementation of an integrated Legal and Contracts approach in SAIPA.
Active involvement in legislative law making processes at National and Provincial levels on laws that may affect the accountancy profession and representation and participation in various Forums (such as IFAC, PAFA etc.) that may have a legislative impact on the accountancy profession, is required from the incumbent.
This role is further tasked with the appointment of Legal Firms to the SAIPA database to ensure centrally negotiated rates, standards and conditions of service delivery.
Work with various executive structures and stakeholders, including the Board, Board Committees, the Chief Executive, the Chief Financial Officer, the Chief Operations Officer and MANCO.
Internal Environment
Develop and oversee a standardised strategy, frameworks, policy, procedure, standard for SAIPA and to provide guidelines for the implementation thereof.
effectively utilise available technology to ensure streamlined and efficient processes.
Legal and Contract Strategy, Approach and Implementation within SAIPA:
Strategically integrate the legal and contract support services within SAIPA;
To establish a legal framework within which SAIPA should operate;
To establish a contract management framework/policy within which SAIPA should operate;
Maintain and review an effective system of delegations to the Board, Chief Executive, Chief Operations Executive, Chief Financial Officer, MANCO and staff.
Financial Management:
Plan, monitor and control the Unit’s annual operating budget so that spending is in line with SAIPA requirements;
Comply with internal SAIPA policies and procedure regarding procurement of goods and services;
Source BEE/ SMME suppliers and monitor procurement spent;
Support the optimisation of value obtained from investments in Contracts.
Implement best practice examples for functional effectiveness and efficiencies.
Professional and Sound Advice:
Provide immediate and ongoing legal advice to the Board and the Chief Executive, the Chief Operations Executive, the Chief Financial Officer, MANCO and staff on any potential legal risk for SAIPA.
Advise the Board and the Chief Executive, the Chief Operations Executive, the Chief Financial Officer immediately of any decision or action which may expose SAIPA to risk and recommend and advice on the best legal strategy to protect the SAIPAs interest;
Comment on new bills and legislation and report on the implications of such bills and legislation to the Board, the Chief Executive, the Chief Operations Executive, the Chief Financial Officer and MANCO;
Ensure that all actions and decisions of the Board and decision makers are legal, valid and in accordance with the legal framework of SAIPA, by providing legal opinions and advice to the Board the Chief Executive, the Chief Operations Executive, the Chief Financial Officer, MANCO and departments, commenting on all reports and attending of meetings;
Management of Legal and Litigation Processes:
Initiate, defend and/or settle litigation on behalf of SAIPA;
Ensure that litigation against SAIPA is properly managed in the best interest of SAIPA, by reporting major cases instituted against SAIPA, monitoring the performance of external legal advisors, recommending legal strategy to the Board and MANCO in priority cases and managing legal costs down;
Management of Contract Support Processes:
Develop, manage and review a Contract Management Framework/Policy to ensure a legal, commercially sound, risk adverse, effective and efficient contracts and contract management environment;
Ensure the negotiation, drafting and/or vetting of contracts in accordance with the Contract Management Framework/Policy;
Review identified contracts to ensure that they are legal, commercially sound, risk adverse, effective and efficient.
Stakeholder Relationship Management
Build relationships with management and other stakeholders so that an understanding is created of their requirements and these are incorporated into the strategic planning of the departments.
Ensure a pro-active legal service, through the provision of training to departments on identified subjects, alerting departments of new developments in law and informing departments of new Acts.
Ensure the strategic leadership and provision of an effective Board and Sub-committee Support Service
Ensure a well-planned and effectively implemented Board and Sub-committee programme and agenda.
Render strategic and operational support to the Board and the sub-committees.
Monitor and track the implementation of decisions of the Broad and Sub-committees.
Responsible for the management and administrative capacity around the Board and Sub-committee systems and processes.
Intelligent interpretation of content to ensure minutes are meaningful and accurate.
Ensure a functional and secure Board and Sub-committee document and information management and communication system.
MINIMUM REQUIREMENTS
Qualification
LLB or equivalent Law Degree (LLM preferred).
Admitted as an attorney or advocate to the bar.
Experience
Minimum 10 (ten) years knowledge and practical experience in legal advisory services.
Minimum 5 (five) years of management and leadership experience.
Minimum 5 (five) years demonstratable legislative and regulatory compliance experience.
Knowledge of NPO sector advantageous.
Broad risk management (including regulatory and compliance) and corporate governance experience and promoting ethical practices within the organisation.
Strong verbal and written communication skills with the ability to communicate at various levels.
Analytical mindset with a consistent application of sound judgment.

Key Purpose
The Executive Assistant to the Chief Executive is expected to always use initiative and independent thinking in contributing to the effective management of the Chief Executive’s office, ensuring that he/ she at all times acts in accordance with the institute’s vision, mission and values.
Undertake and ensuing that all administrative duties are performed at the highest standard with respect to the Chief Executive’s office administration, control environment, compliance, meeting and travel arrangement as well as minute taking, meeting packs preparation and various report writing. Project the company’s image and reputation through effective and efficient management of the office of CE.
General Office Assistance
The Executive Assistant renders secretarial, systems control, compliance, administrative and related services in support of the Chief Executive, to ensure that the highest possible best practise standards are maintained in the CE’S office. The Executive Assistant will interact with staff (at all levels including the Board) in a fast-paced environment, and from time to time under pressure, while remaining flexible, proactive, resourceful and efficient, with a high level of professionalism and confidentiality. Be a vital part of the Chief Executives day to day business and organise most of his / her entire office management.
Perform general executive secretarial duties.
Ensure efficient, effective and professional administration of the CE’s office, which includes:
Monitoring and Screening of phone calls
Screening enquiries and requests from Board Members, other Executives, Staff Members as well as external requests
Acting as the link between the Chief Executive and all Staff Members and Executives
Stakeholder Engagements
Processing incoming and outgoing correspondence via email, fax and post. This includes:
Producing documents
Briefing notes and presentations
Drafting letters
Post mail and drafting emails
Printing and copying
Update contact list for the Chief Executive Department.
Compiling and drafting letters and memoranda.
Screen calls, take and relay accurate and timely messages from telephone callers, and answer queries where appropriate.
Management of all mail addressed to the CEO.
Management of stationery and other relevant requirements for the Chief Executive Department.
Provide quarterly updated stakeholder lists and requirements to Marketing in order for them to maintain stakeholder’s contact list.
Management of the CE personal affairs.
Calendar Management, organizing and maintaining the Chief Executives Calendar, scheduling appointments and meetings, keeping track of travels and prioritize important meetings. This includes both local and international business as well as booking of restaurants for breakfast, lunches and dinners.
Extensive email management as well as attends to e-mails where appropriate.
Assist the CE to manage his output, workflow processes and office deadlines.
Draft, type and dispatch all the CE’s correspondence.
Liaise with Company Secretary to ensure that reports for Board and its Committees are timeous and relevant.
Management of the Chief Executive’s office logistics and infrastructure and that it is all times neat and tidy
Office filing management.
Meeting Administration
The output for this is to assist the CE to manage and facilitate his calendar to ensure optimal use of time, by organizing travels, trips and meetings in an efficient and reliable manner. By being the one person that the Chief Executive can rely on, he / she can request information from and utilize her / his HR03-V1 organization and planning skills.
Coordinate all local business travel (always ensuring that this is done from a cost savings perspective for the institute and in compliance with the travel policy) for the following:

All International travel for the organization
All Projects that are undertaken

Prepare the Chief Executive’s meeting files for all internal and Board Committee Meetings.
Assist the Company Secretary with the compilation of Board and its Committees meeting packs from the Chief Executive office perspective.
Keeping and updating a list of all meetings requests.
Prepare agendas for the scheduled Executive Management (MANCO) meetings.
Arrange venue and electronic recording facilities for for outside meetings.
Arranging catering for all committee meeting, and Executive Office meetings.
Coordinating ad hock meetings as requested.
Assists in coordinating the agendas of ManCo meetings, off site (ad hoc) meetings and staff meetings.

Financial
Administration of purchase orders for the Executive Department.

Tabulate and retrieve CE’s official expenditures and claims.
Preparing and submitting the CE’s travel, subsistence and entertainment claims.
Ordering of subsistence allowance (foreign currency) in line with the stipulated SARS rates and company policy.
Prepare claim sheet and travel claims for the Chief Executive for ExCo approval, when attending outside meetings.
Perform any other duty as and when required by the CE.
Manage and reconcile the SAIPA credit card within the organisation.
Table relevant departments purchase orders to the Chief Executive for signature, in accordance with the delegation of authority manual.
Assist and support the CE with the Budget of its office.
Assist with the monthly monitoring of the Budget vs Actual reconciliation.

Qualification:

Experience:
At least 10 years’ experience in Executive Assistant role working in a senior executive manager office.
Possess excellent spoken and written communication skill and with proven ability to present at high level stakeholders.
Strong organizational skills that reflect the ability to perform and prioritize multiple tasks seamlessly with excellent attention to detail.
